Operator Agreement

Version 2026-07-19. This agreement is between Crusoe and every operator listing services on the platform, and applies in addition to the general Terms & Conditions.

1. Crusoe is a marketplace, not the provider

Crusoe operates an online marketplace that connects travelers with independent local operators. Crusoe is not a tour operator, transport company, rental company, or travel agency, and does not itself provide, own, control, or supervise any of the experiences, vehicles, vessels, or services listed on the platform. The contract for every experience is between you (the operator) and the guest; Crusoe facilitates the introduction, booking, and payment only.

2. You are an independent business

You operate as an independent business. Nothing in this agreement or your use of the platform creates an employment relationship, partnership, joint venture, franchise, or agency between you and Crusoe. You have no authority to act on Crusoe's behalf or bind Crusoe in any way.

3. Your services are your responsibility

You are solely responsible for the services you provide, including the safety, condition, and maintenance of all vehicles, vessels, and equipment; the competence, licensing, and conduct of your staff and guides; guest safety briefings and appropriate safety equipment; and delivering each booking as described in your listing.

4. Licenses, permits, and legal compliance

You represent that you hold, and will maintain for as long as you list on Crusoe, every license, permit, registration, and authorization required to operate your business and provide your listed services under the laws of the Republic of Panamá and any applicable local or municipal regulations. You will comply with all applicable laws, including consumer-protection, maritime, transit, labor, and safety regulations.

5. Taxes

You are solely responsible for determining, collecting, reporting, and remitting all taxes, duties, and government charges that apply to your services and your earnings — including, without limitation, ITBMS (VAT), income taxes, and municipal fees. Crusoe does not withhold, collect, or remit taxes on your behalf, and amounts paid out to you are paid gross of any tax obligation you may have. You agree that Crusoe has no liability for your tax obligations.

6. Insurance

You must maintain insurance appropriate to the nature and risk of your activities, including liability coverage for injury to guests and third parties where such coverage is available and customary for your activity type. Crusoe's platform does not include or provide any insurance for you, your equipment, or your guests.

7. Accidents, injuries, and liability

You assume all risks arising from the operation of your business and the provision of your services. Crusoe is not liable for — and you agree Crusoe has no responsibility for — any accident, injury, illness, death, property damage, loss, delay, or other harm arising out of or in connection with your services, however caused. As between you and Crusoe, you bear sole responsibility for any claim brought by a guest or third party in connection with your services.

To the maximum extent permitted by law, Crusoe's total aggregate liability to you for any claim arising out of this agreement or the platform is limited to the commissions Crusoe earned from your bookings in the three months preceding the claim.

8. Indemnification

You agree to defend, indemnify, and hold harmless Crusoe, its owners, affiliates, officers, employees, and agents from and against any claims, demands, losses, damages, fines, penalties, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your services or any accident, injury, or damage connected with them; (b) your breach of this agreement; (c) your violation of any law or regulation, including tax obligations; or (d) any inaccurate or misleading content in your listings.

9. Bookings, cancellations, and refunds

You agree to honor every confirmed booking at the listed price. If you cancel a confirmed booking, the guest is refunded in full and the cancellation is recorded against your account metrics, which are displayed to guests. Repeated cancellations may result in reduced ranking, suspension, or removal from the platform.

All bookings and payments for guests introduced through Crusoe must be processed through the platform. Steering Crusoe guests to book or pay off-platform is a material breach of this agreement.

10. Listing accuracy

Everything in your listings — descriptions, photos, pricing, capacity, and availability — must be accurate, current, and not misleading. You are responsible for keeping your calendar up to date. You represent that you own or are licensed to use all photos and content you upload.

11. Commission and payouts

Crusoe deducts the agreed commission from each booking before payout. Commission rates and payout timing are shown in your operator dashboard and may be updated with notice; continued use of the platform after notice constitutes acceptance.

12. Suspension and termination

Crusoe may suspend or remove your listings or account at any time for breach of this agreement, safety concerns, guest complaints, fraudulent activity, or failure to maintain required licenses or standards. You may stop listing at any time; obligations already accrued (including honoring confirmed bookings, indemnification, and tax responsibility) survive termination.

13. Platform provided as-is

The platform is provided "as is" and "as available." Crusoe does not guarantee any volume of bookings, uninterrupted availability of the platform, or any particular ranking or placement in search results.

14. Governing law

This agreement is governed by the laws of the Republic of Panamá, and any dispute is subject to the jurisdiction of the courts of Panamá.

15. Electronic acceptance

You accept this agreement electronically by checking the acceptance box during signup or in your dashboard. Crusoe records the date, time, and version of the agreement you accepted, and that record constitutes proof of acceptance. If the agreement changes materially, you will be asked to accept the new version before continuing to use the dashboard.
